Acceptance & eligibility

By preordering, purchasing, or using IMMI and its associated services, you agree to these Terms. You must be at least 18 years old (or the age of majority in your jurisdiction) to preorder or purchase.

What IMMI is

IMMI is a pre-configured hardware device that runs a local photo management stack. It backs up photos and videos from paired phones, provides on-device AI search, and stores everything locally on the device you own. Local functionality does not require a cloud subscription or any remote account.

Preorders

When you submit your email and preorder a reservation, you are reserving a spot in the first production batch at the discounted preorder price. Preorder is a reservation, not a guarantee of delivery.

• No credit card is charged at reservation. You will be notified by email when IMMI is ready, and any payment will be taken only with your explicit confirmation at that point.
• Your right to cancel: You may cancel your reservation at any time before the device ships. Full refund if any charge has already been taken — no questions asked. Contact support@immiphoto.xyz or use the cancellation link in your confirmation email.
• Our right to cancel: We reserve the right to cancel any reservation at any time before shipment — for reasons of availability, production delays, pricing changes, regulatory requirements, or any other business reason — with a full refund of any amount paid.
• Subject to change: Preorder pricing, device specifications, and estimated delivery dates may change before final invoice. Material changes will be communicated by email.

Purchase & billing

• IMMI hardware is a one-time purchase at the listed price.
• There are no recurring fees. Local functionality does not require any cloud subscription.
• The price displayed at the time of your final invoice is the price you pay.
• Taxes, duties, and shipping, where applicable, will be itemized at checkout.

Returns & refunds

You have 30 days from delivery to return your IMMI device for any reason.

• The device must be returned in re-sellable condition, with original packaging where possible.
• We will refund the purchase price (outbound shipping costs, where applicable, are not refunded).
• Initiate a return by emailing support@immiphoto.xyz with your order number.

Limited hardware warranty

IMMI warrants the device against manufacturing defects for one (1) year from the date of delivery.

Covered: Defects in materials and workmanship under normal use.

Not covered:

• Physical damage (drops, liquid, crushing)
• Damage from unauthorized modification, disassembly, or firmware tampering
• Normal wear and tear
• Damage from power surges or improper power supply
• Cosmetic damage that does not affect functionality

Remedy: At our discretion, we will repair or replace the defective unit. Contact support@immiphoto.xyz to start a warranty claim.

Software license

We grant you a limited, non-exclusive, non-transferable license to use IMMI's firmware and pre-installed software on your purchased device, for personal or business use within your household or studio team.

You may not:

• Reverse engineer, decompile, or disassemble the firmware, except as permitted by law
• Modify the firmware in ways that circumvent security or licensing mechanisms
• Redistribute, sublicense, or resell the software separately from the hardware
• Use the device to operate a commercial photo-hosting service for third parties beyond your household or studio team

Your content

You retain full ownership of all photos, videos, and content you create, store, or process on your IMMI device. We do not access, collect, or claim any rights to your on-device content. Ever.

When you voluntarily submit feedback, feature requests, or bug reports to us, you grant us a non-exclusive, royalty-free license to use that feedback to improve the product.

AI search disclaimer

IMMI's on-device AI search (natural-language photo retrieval) is probabilistic and non-deterministic. Results may be incomplete or imperfect. We do not guarantee the accuracy, reliability, or exhaustiveness of AI-generated tags or search outputs. AI runs locally on your device and processes only metadata.

Prohibited use

You agree not to use IMMI to:

• Violate any applicable law or regulation
• Store or distribute content that is illegal, harmful, or infringes the rights of others
• Attempt to gain unauthorized access to others' accounts, systems, or networks
• Circumvent the device's security, licensing, or update mechanisms

Intellectual property

The IMMI name, brand, hardware design, firmware, website, and documentation are the intellectual property of IMMI. These Terms do not grant you any rights to our trademarks, trade dress, or proprietary technology beyond the limited license in Section 7.

Service disclaimers

Beyond the Limited Hardware Warranty in Section 6, IMMI's firmware, software, and website are provided "AS IS" and "AS AVAILABLE," without warranties of any kind — express or implied — including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the extent permitted by applicable law, IMMI's total cumulative liability for any claim arising out of or related to the device or these Terms is limited to the amount you paid for the device in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages — including lost data, lost profits, or business interruption — even if advised of the possibility.

Indemnification

You agree to indemnify and hold IMMI harmless from any claims, damages, or costs arising from your misuse of the device or your violation of these Terms — including content you store on the device that infringes the rights of others.

Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which IMMI is registered, without regard to conflict-of-laws rules. Any disputes will be resolved in the courts of that jurisdiction. Consumer protection rights available to you under your local law are not limited by this clause.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email and a prominent notice on the website at least 30 days before taking effect. Continued use of the device after the effective date constitutes acceptance of the updated Terms.
